Terms of Service

Effective 19 October 2026 · Applies to the GaintPlay website, app, emails and support

The short version

  • GaintPlay is free. You earn coins by completing offers and surveys from our partners. 1,000 coins are worth US$1 when you cash out.
  • Partners decide whether a task counts, and they can take it back later, even after the coins are in your balance.
  • Coins aren’t money and never expire while your account is open. You can exchange them for gift cards, top-ups or PayPal payments (PayPal is 18+).
  • Every cash-out is checked first by automated tools, including AI. A person reviews anything unusual, and you can ask a person to look at any decision.
  • One account per person. No VPNs, bots, emulators, fake details or second accounts.
  • You must be at least 13, and if you’re under 18 you need a parent’s or guardian’s permission.
  • If we restrict your account, we’ll tell you why, and you can appeal.
  • In the US, most disputes go to individual arbitration, not court. You can opt out within 30 days. Consumers in the EU, UK and many other countries keep their local courts and rights.

1. About GaintPlay and these Terms

GaintPlay is a rewards service. You complete offers and surveys from our partners, earn coins, and exchange the coins for gift cards, mobile and game top-ups, or PayPal payments.

GaintPlay is operated by Sapniverse LLC, a limited liability company registered in the United States (“we”, “us”, “our”). These Terms of Service (“Terms”) are a legal agreement between you and Sapniverse LLC. Our postal address is 447 Broadway, 2nd Floor Suite 2206, New York, NY 10013, USA. You can reach us at support@gaintplay.com.

These Terms apply whenever you use GaintPlay: the website at app.gaintplay.com, our app, our emails and our support. By creating an account or using GaintPlay, you agree to them. If you don’t agree, please don’t use GaintPlay.

Three other things are part of our agreement: our Privacy Policy, which explains how we handle your information; the details we show in the app next to a feature (such as a reward’s price, when a pending reward will be released, or the rules of a leaderboard prize); and the terms of the partner whose offer you choose (section 5). If a detail shown for a specific feature conflicts with these Terms, the more specific rule applies to that feature.

A few words we use: coins are the reward points in your GaintPlay balance; partners are the offer walls, survey networks and advertisers whose tasks appear on GaintPlay; and a cash-out is when you exchange coins for a reward.

2. Who can use GaintPlay

To use GaintPlay, you must:

  • be at least 13 years old, or older if the law where you live requires it (see below);
  • use GaintPlay for yourself, as an individual, and not for a business;
  • live somewhere GaintPlay, its offers and its rewards are legal;
  • not be barred by sanctions (see below); and
  • not have had a GaintPlay account closed by us for breaking these Terms, unless we’ve told you that you may come back.

If you’re under 18

If you’re under 18, or under the age of majority where you live, you need permission from a parent or legal guardian to use GaintPlay. Please read these Terms with them. By letting you use GaintPlay, your parent or guardian agrees to these Terms on your behalf and is responsible for how you use it.

Some places set a higher minimum age for using online services like ours without a parent’s verified consent (16 in some EU countries, for example), and India’s data protection law treats everyone under 18 as a child. If one of those rules applies to you, you must be at least that age, so in India you must be 18 or older.

Age limits set by partners and payment services

Partners set their own age limits for their offers, and many offers are only for adults (18+). Partners check ages in their own way. Only start offers you’re old enough for. PayPal cash-outs are only for people who are 18 or older and who have their own PayPal account.

Sanctions

You can’t use GaintPlay if you’re located in, or ordinarily live in, a country or region under comprehensive sanctions of the United States, the United Nations, the European Union or the United Kingdom, or if you (or anyone who owns or controls you) are on one of their sanctions lists, such as the US Treasury’s list of Specially Designated Nationals. We may block access from sanctioned places and refuse cash-outs where the law requires.

Offers and rewards differ from country to country. We don’t promise that GaintPlay, or any particular offer or reward, is available where you are.

3. Your account

One account per person

Each person may have one GaintPlay account, and it’s personal to you. Don’t share it, sell it, give it away, or use anyone else’s. People who share a home or a device can each have their own account, but each person must sign up and earn for themselves. Accounts that share a device or network get closer checks.

Keep your details accurate

Give us a real email address that you control, and keep it up to date. You need to confirm your email before you can cash out. Your username must follow the rules in section 13.

Keep your account secure

Use a strong password that you don’t use anywhere else, and don’t share it. We will never ask for your password, and our staff will never ask you for a gift card code. If you think someone else has got into your account, reset your password and tell us straight away at support@gaintplay.com.

You’re responsible for what happens on your account, unless it happens because of our failure, or because someone used it without your permission after you took reasonable care and told us promptly.

4. Coins

What coins are

Coins are a promotional reward unit that we give you for completing tasks. They are not money, a deposit, a currency, e-money or an investment, they don’t earn interest, and they aren’t your property: they are our record of the rewards you can claim from us under these Terms. Coins have no cash value except when you exchange them through a cash-out.

Our base rate is 1,000 coins = US$1. The price of each reward in coins is shown on the Cash out screen before you confirm. For a reward priced in another currency, the coin price includes the exchange rate and a small allowance for currency movements, so it can differ slightly from the base rate. Prices change as our suppliers’ prices change. If we ever change the base rate itself, we’ll tell you at least 30 days before the change so you can cash out first.

Coins don’t expire

Coins never expire while your account is open. We don’t remove coins because you haven’t used GaintPlay for a while.

Pending and available coins

Some rewards arrive as pending coins and become available later. Pending coins can’t be cashed out yet. Your Wallet shows each pending reward and when it’s expected to become available. Section 5 explains why rewards are held.

Coins can’t be transferred

You can’t sell, buy, trade, transfer or give away coins, move them between accounts, or use them outside GaintPlay. Any attempt to do so has no effect, and coins involved may be removed.

Mistakes

If coins are added to your balance by mistake (for example a technical error, or a partner crediting the wrong account), we may correct your balance, and the correction shows in your Wallet history. If coins are missing because of our error, tell us and we’ll put it right.

What happens to coins when an account closes is covered in section 10 and section 11.

5. Offers and surveys

Partners provide the offers

Offers, games, app installs, sign-ups and surveys on GaintPlay come from independent partners and the advertisers they work with. When you open an offer wall or a survey, you deal with that partner and advertiser under their own terms and privacy policies, which you’ll find inside each offer wall. Please read them before you start. We choose which partners to work with, but we don’t control their offers, their websites or apps, or the products they promote.

Partners decide whether a task counts

Each partner decides whether you completed a task as its description requires, and tells us when to credit coins. We credit coins only after the partner confirms. If a task hasn’t paid, contact the partner’s support from inside its offer wall first. If that doesn’t solve it, ask us: we’ll pass on what we know, but we can’t credit a task the partner hasn’t confirmed.

Rewards can be held

We may hold a reward as pending before it becomes available. How long depends on the offer, the partner, the amount and your account’s history, and your Wallet shows the expected date. Most holds end within 30 days. A reward can be held until it has been reviewed if it is unusually large, if your account is under review, or if we have reason to think it may be reversed.

Reversals and chargebacks

A partner can reverse a reward if the advertiser decides the task didn’t qualify, for example because of a refund or a cancelled purchase, a repeat install, use of a VPN, inaccurate survey answers or a failed quality check. When a partner reverses a reward, we remove those coins, even if they were already available. If someone referred you, their commission on that reward is reversed too.

If the coins were already spent, the missing amount is recorded against your account. We may pause cash-outs until it’s covered and recover it from coins you earn later. We won’t ask you to pay us back in cash for an honest reversal. If a reversal comes from fraud or a breach of these Terms, section 10 applies.

Purchases, trials and subscriptions

Some offers ask you to buy something, start a free trial or subscribe. That is a contract between you and the advertiser, not us. You’re responsible for any payment, and for cancelling trials and subscriptions you don’t want to keep. Cancelling or asking for a refund may lead the partner to reverse the reward.

Offers change

Offers vary by country, device and partner, and partners can change or remove an offer or its reward at any time. Where there’s a disagreement about what an offer required, the partner’s records of the offer decide it.

6. Cash-outs

Asking for a cash-out

You can cash out available coins once you’ve confirmed your email address and reached the minimum shown on the Cash out screen (your first cash-out may need a higher minimum). When you confirm, we set the coins aside while the cash-out is reviewed and sent. We buy gift cards and top-ups from our supplier, WizzGift, and PayPal payouts, where offered, are also sent through WizzGift.

Every cash-out is reviewed

Before we send a reward, we check the request to protect partners, honest members and us from fraud. An automated risk check runs first, with an AI model (Anthropic’s Claude) assisting. Within limits we set, the automated check can approve a cash-out by itself. If it finds a problem, it holds the cash-out for our staff or, in clear cases, declines it. Larger cash-outs, and anything our risk rules flag, always wait for a person before they’re approved.

You can ask for a person to review any decision about your cash-out: reply to our email or contact support. Our Privacy Policy explains what the check looks at.

We may ask you to verify

We may ask you to confirm details before we send a cash-out, for example that you control the email address or the payout account, or how you completed certain offers. If we ever need to see an identity document, we’ll first explain why, who will check it and how long it will be kept. If you don’t give us what we reasonably ask for, we may decline the cash-out.

Declined cash-outs

If we decline a cash-out, we’ll tell you, and the coins go back to your balance. The exception is where the coins came from fraud or a breach of these Terms; then section 10 applies and those coins may be removed.

Timing and delivery

Most cash-outs are reviewed and sent within minutes, but some take longer, for example when a person needs to check them, when our supplier is slow, or when cash-outs are paused for maintenance. We don’t promise a delivery time. When a gift card is ready we email you, and its code is shown in your account with your cash-outs. Top-ups and PayPal payouts go straight to the phone number, game account or PayPal account you entered.

Gift cards and their issuers

Gift cards are issued by their brands or the brands’ agents, not by us. Each card is subject to its issuer’s terms, which can include expiry dates, country restrictions and rules on where it can be used. Read the card’s details on the Cash out screen before you choose it.

Check recipient details carefully

For top-ups and PayPal payouts, you’re responsible for entering the right phone number, game or player ID, or PayPal email. Once a payment reaches the details you entered, it usually can’t be reversed or recovered, so we can’t refund it if the details were wrong. A PayPal account must be your own, in good standing and able to receive the payment. If PayPal or another provider returns a payment to us, we’ll put the coins back once we receive the funds.

No refunds or exchanges of delivered rewards

A delivered reward can’t be exchanged for coins or for another reward, refunded, or replaced if it is lost, shared or stolen after delivery, so keep your codes private. If a code doesn’t work the first time you try it, tell us as soon as possible. We’ll investigate with our supplier and, if the code was faulty when delivered, replace it or return your coins.

Prices and availability

The rewards on offer, their prices in coins and the countries they’re available in can change at any time. The price shown when you confirm is the price you pay. If a reward becomes unavailable before we can send it, or our cost rises sharply before delivery, we may cancel the cash-out and return your coins.

7. Referrals

You can invite friends with your referral link or code. When someone signs up with your code, you earn a commission: a share of the coins they earn from offers and surveys, at the rate shown on the Rewards page (5% when these Terms took effect). We pay the commission ourselves; it is never taken from your friend’s earnings.

Commissions follow your friend’s rewards: they’re held while those rewards are held, and reversed if those rewards are reversed. Bonuses don’t earn commission. To keep the program fair:

  • don’t refer yourself, or accounts you create or control;
  • don’t spam: no unsolicited messages, no posting your link where it isn’t allowed, and no misleading claims about GaintPlay or how much people can earn;
  • don’t pay or reward people to sign up with your code, or run ads that use our name or make it look as if you are GaintPlay; and
  • don’t pretend to be someone else to get sign-ups.

We may refuse, remove or change a referral code that copies someone else’s name or brand, and remove commissions earned by breaking these rules. We may change the rate or end the program with notice under section 17; commissions already in your available balance stay yours.

8. Bonuses, levels and the leaderboard

From time to time we offer extra rewards, such as a daily bonus and streaks, a welcome bonus, promotions and levels. Each comes with conditions shown in the app, for example that your email is confirmed, your account is in good standing, or you’ve completed an offer recently. Bonus coins are coins under these Terms, but they may stay pending until you meet the conditions shown, and bonus coins obtained by breaking the rules can be removed. We may change or end bonuses, streaks and levels at any time; that doesn’t take away bonus coins already in your available balance.

The leaderboard ranks members by the coins they earned from offers in a period. Reversed rewards don’t count, and we may remove anyone who breaks these Terms from it. If we award prizes for a leaderboard or contest, its rules (who can take part, how winners are chosen, the prizes and any limits) are shown on the leaderboard page and form part of these Terms. Prizes are void where prohibited, and no purchase is ever needed. Your username appears on the leaderboard and the live feed unless you switch that off (see the Privacy Policy).

9. Fair play: what isn’t allowed

GaintPlay only works if partners can trust that the people completing their offers are real and honest. You must not:

  • use a VPN, proxy, Tor, a data-centre connection, or anything else that hides or fakes your location or network;
  • use emulators, virtual machines, app cloners, or tools that fake or reset your device’s identity;
  • use bots, scripts, auto-clickers, macros, AI agents or any other automation to complete tasks or use GaintPlay;
  • have more than one account, use someone else’s account, let anyone else use yours, or buy, sell or rent accounts;
  • give false information to us or to partners, including false survey answers, fake details in sign-ups, or careless answers just to finish a survey;
  • commit fraud, such as using stolen details, cancelling purchases or charging back payments to keep a reward, or getting other people to complete tasks for you;
  • exploit a bug, error or loophole instead of reporting it, or manipulate bonuses, referrals or the leaderboard;
  • harass, threaten or abuse our staff, partners or other people, or impersonate anyone, including GaintPlay staff;
  • beg for coins, spam, or advertise through your username or support messages;
  • scrape GaintPlay, overload it, probe its security, or get around its limits or protections; or
  • break a partner’s rules or the law.

If you’re not sure whether something is allowed, ask us first.

10. How we enforce these Terms

What we may do

If we reasonably believe you’ve broken these Terms, a partner’s rules or the law, or that your account is being used for fraud, we may take one or more of these steps, in proportion to what happened:

  • warn you;
  • hold rewards or cash-outs while we review;
  • reverse rewards, bonuses or commissions obtained through the breach;
  • decline a cash-out;
  • remove you from the leaderboard;
  • restrict features, such as opening offers or cashing out;
  • suspend your account; or
  • close your account.

We may act on information from partners, for example a partner’s finding that tasks were fraudulent. If we need to protect partners or other members during a review, we may restrict an account first and explain afterwards.

Coins after a breach

Coins obtained through a breach are removed. If we close your account because of a breach, you can still cash out other available coins that you earned honestly, unless the breach involved fraud against us or our partners. In that case we may keep the remaining coins to cover our losses, as far as the law allows.

We’ll tell you why

When we restrict, suspend or close your account, or remove coins, we’ll tell you what we did, the rule it was based on, the main facts we relied on, and whether automated tools were involved, unless telling you would break the law or help someone get around our fraud checks. We’ll also tell you how to appeal.

Appeals

If you disagree with a decision, reply to our message or email support@gaintplay.com within 6 months, and explain why. A member of staff who wasn’t involved in the original decision will review it, including any decision made with automated tools, and tell you the outcome and the reasons. We aim to reply within 14 days. If you live in the EU, you may also be able to use a certified out-of-court dispute settlement body under the Digital Services Act. Your other legal rights, including going to court, are not affected (section 21).

11. Closing your account

You can close your account at any time

Delete your account from the Account page, in the app or on the website. If you can’t sign in, email support@gaintplay.com from the address on your account. You can’t delete your account while a cash-out is being reviewed or sent; wait for it to finish first.

What happens to your coins

When you delete your account, any coins left in it, available and pending, are given up, and we can’t restore them. Cash out what you can first: the deletion screen shows your balance before you confirm.

What happens to your information

Deletion is permanent. We erase your profile and sign you out everywhere straight away, and keep only the records the law requires or that we need to prevent fraud, as the Privacy Policy explains. You can sign up again later, unless we closed your account for fraud.

If we stop running GaintPlay

If we decide to close GaintPlay altogether, we’ll give you at least 30 days’ notice and the chance to cash out your available coins under these Terms.

12. Taxes

Rewards you receive through GaintPlay may count as income or be taxable where you live. You’re responsible for reporting them and paying any tax due. Where the law requires us to report payments or collect tax information (for example in the United States, if the rewards we pay you in a year reach the reporting threshold), we may ask for details such as your legal name, address and taxpayer identification number, and we may pause cash-outs until you provide them. We’ll use that information only for tax purposes, and we may withhold tax where the law requires.

13. Your content and support

Your username and messages

You keep ownership of what you write on GaintPlay, such as your username and your support messages. You give us a worldwide, non-exclusive, royalty-free licence to store, copy, display and use it to run, secure and improve GaintPlay, for as long as we need it for those purposes. Your username is shown publicly on the live feed and the leaderboard unless you switch that off.

Username rules

Usernames must not be offensive, hateful or sexual, impersonate anyone (including GaintPlay staff or partners), contain contact details, links or ads, or infringe anyone’s rights. Don’t use your real full name. We may change a username that breaks these rules, and we’ll tell you if we do.

Support

Support requests may be answered first by an AI assistant that works from the details of your account. It hands the conversation to a member of staff when it can’t help, or when you ask for something only staff can decide, such as coins, cash-outs or account restrictions. The assistant’s replies are information, not decisions: decisions are made under these Terms. Please be respectful to our team; we may stop responding to, or restrict, accounts that abuse staff.

Reporting illegal content

If you see something on GaintPlay that you believe is illegal or infringes your rights, such as an offensive username, email support@gaintplay.com with where you saw it, why you think it’s illegal, and your name and email address. We’ll review it promptly and tell you what we decided and why.

14. Our content and your licence

GaintPlay’s software, design, text, logos, the coin mascot and the GaintPlay name belong to us or our licensors. As long as you follow these Terms, we give you a personal, non-exclusive, non-transferable and revocable licence to use GaintPlay for your own non-commercial use.

You may not copy, change, distribute, sell or rent any part of GaintPlay, collect data from it with automated tools, or reverse engineer it, except where the law allows this despite these Terms. If you send us ideas or feedback, we may use them without paying you or owing you anything.

15. Partners and other brands

Brand names, logos and products shown on GaintPlay, including gift card brands, games, apps and payment services such as PayPal, belong to their owners. Those owners aren’t sponsors of GaintPlay, don’t endorse it and aren’t responsible for it, unless we say otherwise.

GaintPlay links to and displays partner pages that we don’t control. We’re not responsible for their content, products or practices, but we’ll act on problems you report, which can include removing an offer or a partner.

16. The GaintPlay app

Our Android app, available on Google Play, opens GaintPlay in a secure app window. These Terms apply to the app exactly as they do to the website, with the same account. Google’s own terms apply to your use of Google Play. Google isn’t a party to these Terms and isn’t responsible for GaintPlay or for supporting it. The same applies to any other app store we use.

Keep the app and your device’s browser up to date; older versions may stop working. The app doesn’t need special device permissions. If an offer asks to use your camera or microphone, your device asks you first, and you can say no.

17. Changes to GaintPlay and these Terms

Changes to GaintPlay

We keep improving GaintPlay, so features, partners, offers, rewards and limits change. We may add or remove features, and we may pause GaintPlay or part of it for maintenance, security or legal reasons. We’ll try to give you notice of significant changes that affect you.

Changes to these Terms

We may update these Terms, for example for new features, new laws or changes in how GaintPlay works. If a change is significant and could affect you negatively, we’ll tell you at least 30 days before it takes effect, by email or in the app. If a change is needed sooner for legal or security reasons, we’ll tell you as soon as we can. Other changes take effect when we publish them, and the “Effective” date at the top will change.

If you keep using GaintPlay after a change takes effect, the new Terms apply. If you don’t agree, stop using GaintPlay and close your account; we recommend cashing out first. A change never applies to a dispute you’ve already told us about.

18. Disclaimers

We work hard to keep GaintPlay running and to pay every valid reward. But GaintPlay depends on partners, suppliers and the internet, so, to the extent the law allows:

  • we don’t guarantee how much you’ll earn, or that any offer will be available, will work, or will be credited by the partner;
  • we don’t guarantee that GaintPlay will always be available or free of errors; and
  • GaintPlay is provided “as is” and “as available”, and we disclaim implied warranties, such as merchantability, fitness for a particular purpose and non-infringement.

Nothing in these Terms affects your rights as a consumer that can’t be excluded or limited by contract. For example, if you’re in the EU or UK we must provide GaintPlay with reasonable care and skill and as described, and if you’re in Australia our services come with guarantees that cannot be excluded under the Australian Consumer Law. Similar protections exist in many other countries.

19. Limits on our liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for anything else the law doesn’t allow us to limit or exclude.

Subject to that, and to the extent the law allows:

  • we’re not liable for losses caused by partners, advertisers, gift card issuers, payment providers or other third parties, or by events outside our reasonable control;
  • we’re not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or opportunities; and
  • our total liability to you for all claims relating to GaintPlay is limited to the greater of US$100 and the value, at the cash-out rate, of the coins in your account when the claim arose, plus the value of any cash-out we accepted but didn’t deliver.

If you’re a consumer in the EU or UK: we’re responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill. Loss is foreseeable if it’s obvious that it will happen, or if we both knew it might happen when you accepted these Terms. We’re not responsible for loss that isn’t foreseeable. The limits above apply to you only as far as your local law allows.

Some US states don’t allow certain warranties to be excluded or certain damages to be limited, so some of the limits above may not apply to you.

20. If you misuse GaintPlay

If you break these Terms or the law when using GaintPlay, or act fraudulently, you agree to compensate us (indemnify us) for the reasonable losses, costs and expenses, including reasonable legal fees, that we suffer as a result, including claims made against us by partners or others. This applies only where you’re responsible for what happened, and only as far as the law allows. If you’re a consumer in the EU, the UK or Australia, it doesn’t take away any of your legal rights or make you responsible for more than your local law allows.

21. Disputes and governing law

Talk to us first

Most problems can be solved quickly. Before starting any formal claim, please email support@gaintplay.com and tell us what’s wrong.

Governing law

These Terms, and any dispute about them or about GaintPlay, are governed by the laws of the State of New York, USA, except that the Federal Arbitration Act governs the arbitration agreement below, without regard to conflict-of-laws rules. If you’re a consumer, you also keep the protection of the mandatory laws of the country where you live.

Arbitration agreement and class-action waiver

Please read this carefully. It means most disputes between you and us are decided by an arbitrator, one person at a time, instead of by a judge or jury, and that neither of us can bring a class action. You can opt out within 30 days (see “Your right to opt out” below).

Who it applies to. This agreement applies to you unless you opt out, or you’re a consumer covered by “If you live outside the United States” below. It covers disputes with Sapniverse LLC and with its officers, employees and agents.

Informal resolution first. Before either of us starts an arbitration or a small-claims case, the one raising the dispute must send the other a written notice. You send yours to support@gaintplay.com and to our postal address in section 1; we send ours to the email address on your account. The notice must give your name, username and account email, a description of the dispute, and what you want. We’ll both try in good faith to settle it for 60 days after the notice is received, including, if either of us asks, in an individual phone or video call that you join personally. Time limits for bringing claims are paused during those 60 days. Neither of us may start an arbitration until they’ve passed, and an arbitrator or court may dismiss a claim started too early.

Binding individual arbitration. Any dispute, claim or controversy between you and us arising out of or relating to these Terms or GaintPlay (a “Dispute”) will be resolved by binding individual arbitration, not in court, except for the exceptions below. The American Arbitration Association (AAA) will administer it under its Consumer Arbitration Rules in force when the arbitration starts (available at adr.org) and, where they apply, its Mass Arbitration Supplementary Rules, as changed by this section. One arbitrator decides. The arbitrator can award the same individual relief a court could, but only to you individually and only as far as your individual claim requires. The decision is final, and any court with jurisdiction can enter judgment on it. The Federal Arbitration Act governs this agreement. The arbitrator decides questions about the scope, validity and enforceability of this agreement, except that a court decides disputes about the class-action waiver, the batching procedure for mass filings, and whether a claim falls under an exception.

Exceptions. Either of us may bring an individual claim in small-claims court if it qualifies and stays there, and either of us may ask a court for an injunction to stop infringement or misuse of intellectual property, or unauthorised access to or interference with GaintPlay. A request for public injunctive relief that the law doesn’t allow to be arbitrated will be decided by a court, after everything else has been arbitrated.

No class actions and no jury. You and we each agree to bring Disputes only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not combine more than one person’s claims (except under “Mass filings”) or preside over a representative proceeding. You and we each give up the right to a jury trial. If a court decides that this paragraph can’t be enforced for a particular claim or remedy, that claim or remedy, and only that, will be decided in court after everything else has been arbitrated. Nothing in these Terms allows class arbitration.

Mass filings. If 25 or more similar arbitration demands are filed against us by or with the help of the same or coordinated lawyers or organisations, they will be administered in batches of up to 100 demands (with a smaller final batch if needed). Each batch is a single arbitration with one arbitrator and one set of filing and administrative fees per side, and the batches proceed one after another unless both sides agree otherwise. Time limits are paused for demands waiting in a batch. If a court finds this paragraph unenforceable for a set of demands, those demands will be decided in court.

Fees and location. The AAA’s consumer fee schedule limits what you pay to file. We’ll pay the rest of the AAA’s filing, administration and arbitrator fees, unless the arbitrator finds your claim frivolous or brought for an improper purpose. Each side pays its own lawyers’ fees unless the law or the arbitrator awards otherwise. The arbitration can be decided on documents only, by phone or video, or in person in the US county where you live, or in another place we both agree.

Your right to opt out. You can opt out of this arbitration agreement by emailing support@gaintplay.com within 30 days after you first accept these Terms, with the subject “Arbitration opt-out”, your name, username and account email, and a statement that you want to opt out. If you already had an account when this agreement was added, you have 30 days from the Effective date above. Opting out doesn’t affect anything else in these Terms or your account.

Changes to this agreement. If we change this arbitration agreement (other than our contact details), you can reject the change by emailing us within 30 days after it takes effect, and the last version you accepted will keep applying to Disputes between us. A change never applies to a Dispute that one of us had already notified to the other.

Courts

Any claim that isn’t arbitrated (because an exception applies, you opted out, or arbitration isn’t allowed) will be decided only by the state and federal courts located in New York County, New York, and you and we agree to their personal jurisdiction, except as the next paragraph says.

If you live outside the United States

If you’re a consumer who lives in the EU or EEA, the UK, Switzerland, Australia, or another country whose law gives you this right, the arbitration agreement and class-action waiver above don’t apply to you, you can bring proceedings in the courts where you live, and you keep the mandatory consumer protections of your country. If you live in Scotland or Northern Ireland, you can also bring proceedings there.

The EU’s online dispute resolution (ODR) platform was discontinued in July 2025, so we don’t link to it. We’d always rather sort a problem out with you directly.

22. General terms

Entire agreement. These Terms, with the documents listed in section 1, are the whole agreement between you and us about GaintPlay, and they replace earlier versions.

If part of these Terms is invalid. If a court or arbitrator finds any part unenforceable, the rest stays in force, and that part is changed only as much as needed to make it enforceable (except as the arbitration agreement says).

Transfer. We may transfer our rights and obligations under these Terms to another company, for example if GaintPlay is sold or reorganised. We’ll tell you if that happens, and it won’t reduce your rights. You can’t transfer your rights or your account to anyone else.

No waiver. If we don’t enforce a right straight away, we can still enforce it later.

Events outside our control. We’re not responsible for delays or failures caused by events outside our reasonable control, such as outages at partners or suppliers, internet failures, attacks, natural disasters or government action.

Our relationship. Using GaintPlay doesn’t make you our employee, contractor, agent or partner.

Nobody else can enforce these Terms. They are between you and us, and no one else has rights under them, except someone we transfer them to.

Language. These Terms are written in English. If we provide a translation and the two differ, the English version applies, unless the law where you live says otherwise.

Notices. We may send you notices by email to the address on your account or by message in the app. You can send notices to us at support@gaintplay.com or by post to 447 Broadway, 2nd Floor Suite 2206, New York, NY 10013, USA.

What continues after your account closes. Sections that by their nature should continue, such as those on coins, taxes, disclaimers, liability, indemnity and disputes, continue to apply.
